Standard of Business Conduct

Overview

Compliance is firmly anchored at Daimler. By the term compliance, we understand the conformity of Daimler's
activities with applicable laws and regulations, as well as with the ethical and moral principles that the Daimler Group is guided by or to which we have voluntarily committed ourselves.



This hierarchical approach is intended to ensure the consistency of all behavioral standards. The foundation of all actions of Daimler is expressed in its core values – passion, respect, integrity and discipline – which were resolved by the Board of Management and which are to provide guidance in daily business operations.


The Business Practices Office (BPO)

The Business Practices Office (BPO) headquartered in Stuttgart and Farmington Hills was formed in 2003 by the Audit Committee of the Supervisory Board of Daimler AG.

The BPO is responsible for receipt and documentation of complains and information concerning suspected violations against legal regulations, internal rules, and accounting or audit requirements of Daimler. The BPO authorizes and coordinates the required internal research and investigations.

Reports can generally be submitted by employees, as well as third parties, including anonymously upon request. Confidential treatment is assured in all cases.


Duties of the Business Practices Office (BPO)

Receipt, documentation and processing coordination of complaints and information by employees or third parties concerning suspected violations against the legal regulations, including chargeable behaviour in particular, violations of internal rules (e.g. of the Daimler Integrity Code) or questionable accounting and auditing practices.

Assurance of the possibility of anonymous reports and confidential treatment of all related information.

Authorization, coordination and monitoring of investigations in connection with received complaints.

Identification of training and communication requirements. Provision of professional advice on the appropriate treatment of conflicts of interest and other relevant BPO issues in connection with applications for membership in management bodies of other companies.

Reporting of the results and measures undertaken by the Business Practices Committee to the Audit Committee and, if applicable, reporting to the Chairman of the Board.
